1. Introduction

1.2. By using the Platform, you confirm that you have read and agree to these Terms. If you do not agree to these Terms, please immediately discontinue use of the Platform.

1.3. agent.biz reserves the right to amend these Terms at any time. Such changes take effect upon their publication on the Platform. Continued use of the Platform signifies the user’s automatic agreement with the updated Terms.

2. Platform Services

2.1. agent.biz provides users with the ability to:

• Post advertisements or promotions for their business.
• Buy and sell various types of intellectual property, goods, and services.
• Find specialists in relevant fields for consultancy services, registration, protection, and management of assets.

2.2. agent.biz acts solely as a technical intermediary and is not a party to any agreements between users. The Platform does not verify, guarantee the legality, accuracy, or completeness of the information posted by users, nor does it inspect the quality or legal compliance of goods or services.

3. Limitation of Liability

3.1. agent.biz is not responsible for any damages, losses, or expenses incurred by users as a result of using the Platform, including but not limited to loss of profit, data, reputation, or any other indirect, incidental, or punitive damages.

3.2. agent.biz does not guarantee uninterrupted operation of the Platform, absence of errors, harmful software (viruses), and is not responsible for any technical issues that may arise during use.

3.6. agent.biz is not liable for any service disruptions, loss of access, or system errors that may cause data loss or inability to use the services.

3.3. In the event of disputes between users, agent.biz assumes no obligation to resolve them.

3.4. agent.biz is not responsible for the actions of users, specialists, sellers, or buyers, nor for any agreements concluded between them. The Platform does not guarantee the fulfillment of any obligations by the parties.

3.5. The total liability of agent.biz to any user, regardless of the grounds for the claim, is limited to the amount of payments made by the user to agent.biz in the last 6 (six) months. If no such payments were made, the liability of agent.biz is zero. All issues regarding the legality of agreements or quality of services must be resolved directly between the parties to the agreement.

4. Disclaimer of Warranties

4.1. agent.biz provides services "as is" and "as available" without any warranties, including but not limited to fitness for a particular purpose, compliance, or uninterrupted operation.

4.2. All transactions made through the Platform are solely the responsibility of the parties involved.

4.3. The information posted on the Platform is not legal, financial, or professional advice. agent.biz is not responsible for the use of this information, and users are required to independently verify the legal consequences of their actions.

5. Privacy and Data Protection

5.1. agent.biz processes personal data in accordance with the Privacy Policy and the General Data Protection Regulation (GDPR).

5.2. Users have the right to access, correct, delete, or restrict the processing of their data.

5.3. agent.biz applies technical and organizational measures to protect data but is not responsible for potential data leaks due to unauthorized access.

6. User Content and Moderation

6.1. Users may post content, including text, images, advertisements, offers of goods and services, that align with the purpose of the Platform.

6.2. Users bear full responsibility for the content they post.

6.3. agent.biz has the right, but not the obligation, to review, edit, or remove content that violates these Terms or legal requirements.

6.4. agent.biz reserves the right to remove any content or block a user account at its sole discretion without providing reasons if deemed necessary to enforce the Platform’s policy.

7. Dispute Resolution

7.1. All disputes between users are resolved without the involvement of agent.biz.

7.2. Any disputes arising from the use of agent.biz shall be subject to arbitration by the International Commercial Arbitration Court at the Ukrainian Chamber of Commerce and Industry (ICAC).

7.3. These Terms are governed by the laws of Ukraine.

7.4. The user agrees that all claims shall be resolved solely on an individual basis, with no possibility of class actions.

7.5. The user agrees that in the event of any claim or lawsuit against agent.biz, all costs associated with the legal process shall be borne solely by the party filing the claim.

8. Intellectual Property

8.1. All content on the Platform is the property of agent.biz or its licensors.

8.2. Users may only use the content for personal, non-commercial purposes.

8.3. By posting content on the Platform, the user grants agent.biz a free, non-exclusive license to use this content within the operation of the Platform.

9. Payment Terms

9.1. All payments are processed through secure payment gateways.

9.2. agent.biz is not responsible for payment delays caused by incorrect user-entered details.

9.3. The refund policy is regulated by a separate document.

9.4. The user bears full responsibility for their financial decisions, including making payments, selecting counterparties, and entering into agreements. agent.biz is not responsible for refunds, non-fulfillment of financial obligations by other users, or third-party services.

10. Platform Usage Restrictions

10.1. The following actions are prohibited:

• Posting illegal, harmful, or discriminatory content.
• Violating the intellectual property rights of others.
• Using the Platform for fraud or data collection without consent.

10.2. In case of violations, agent.biz has the right to block the user or report the information to law enforcement authorities.

11. Final Provisions

11.1. The user agrees that using the Platform signifies acceptance of these Terms.

11.2. If any provision of these Terms is found to be invalid, it does not affect other provisions.

11.4. By continuing to use the Platform after registration or performing any actions, the user confirms that they have read and agree to these Terms.

11.3. The agent.biz platform is owned and operated by Private Entrepreneur Viktor Kovalchuk, a legal entity registered at 45400 Novovolynsk, Kaurkova Street 2B/33.
